The rules.
These terms govern your use of Conduyt. Every paragraph has a plain-English summary. If anything is confusing, write us — we'd rather clarify than enforce a gotcha.
01The agreement
These Terms of Service ("Terms") form a binding agreement between you ("Customer") and Conduyt Inc. ("Conduyt"). By creating an account or using the Service, you agree to these Terms, our Privacy Policy, and any order forms you've signed. If you're agreeing on behalf of a company, you represent that you have authority to bind it.
02Your account
You're responsible for activity under your account, keeping credentials confidential, and ensuring authorized users comply with these Terms. Notify us at security@conduyt.app if you suspect unauthorized access.
We require MFA for all administrator accounts on Team and higher plans.
03Fees & payment
Subscription fees are as listed on the Pricing page or in your order form. We bill in advance, automatically, on the same day each cycle. Annual plans are discounted but non-refundable except where required by law.
Overdue invoices accrue interest at the lesser of 1.5% per month or the maximum allowed by law. We may suspend access if an invoice is more than 30 days overdue — with two notices first.
We reserve the right to revise pricing with 60 days' notice, which will never apply to an existing annual term.
04Your data & our role
You own all Customer Data. You grant Conduyt a limited, non-exclusive license to process it solely to provide and improve the Service for you. We will not sell Customer Data, use it for advertising, or use it to train third-party AI models.
Our Data Processing Addendum is incorporated by reference. Where we act as a processor under GDPR, we do so under Article 28 on the terms in our DPA.
05IP & licensing
Conduyt owns all rights in the Service, including software, interfaces, and the underlying models we train ourselves. We grant you a limited, revocable license to use the Service during your subscription.
Customer Data — contacts, messages, deals, notes, files — remains yours. You grant us a worldwide license to host, display, and process it solely to deliver the Service.
Feedback you share with us is non-confidential; we may use it to improve the product without obligation to compensate you.
06Acceptable use
You may not use Conduyt to:
- Send unsolicited bulk email (spam) or violate CAN-SPAM, CASL, or equivalent laws.
- Transmit unlawful, defamatory, or infringing content.
- Harass, threaten, or defraud any person.
- Circumvent rate limits, reverse-engineer the Service, or probe for vulnerabilities outside our bounty program.
- Use the Service to build a competing product.
- Upload malware, or use the Service to distribute it.
Violations may result in immediate suspension with notice. We prefer a conversation over a ban — if we contact you about usage, reply.
07Term & termination
These Terms start when you create an account and continue until terminated. Either party may terminate for convenience with 30 days' notice. Either party may terminate for material breach if the breach is not cured within 30 days of written notice.
On termination: your subscription ends at the end of the current billing cycle; we retain your data for 30 days in case you return, then delete it; we'll provide reasonable export assistance without charge.
08Warranties & disclaimers
We warrant that the Service will materially conform to its published documentation. EXCEPT FOR THE EXPRESS WARRANTIES IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS." Conduyt disclaims all implied warranties including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
09Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR LOST PROFITS, LOST DATA, OR ANY INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES. EACH PARTY'S AGGREGATE LIABILITY IS CAPPED AT THE AMOUNTS PAID BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM.
These limits don't apply to breaches of IP ownership, indemnification obligations, or payment obligations.
10Indemnification
By Conduyt: we will defend you against any claim that the Service infringes a third party's IP rights, and pay the resulting damages.
By Customer: you will defend us against claims arising from your Customer Data, violation of acceptable use, or breach of these Terms.
Indemnification is conditioned on prompt notice, reasonable cooperation, and sole control of the defense.
11Governing law
These Terms are governed by the laws of the State of Washington, excluding conflict-of-laws rules. Disputes will be resolved by binding arbitration in Seattle, King County, Washington under JAMS rules. Each party retains the right to seek injunctive relief in court for IP or confidentiality breaches.
If you're a government entity that can't agree to arbitration or Washington law, contact legal@conduyt.app — we'll work something out.
12Everything else
Entire agreement. These Terms, our Privacy Policy, DPA, and any signed order forms are the entire agreement between us.
Changes. We may update these Terms with 30 days' notice for material changes; non-material changes take effect on posting.
Assignment. Neither party may assign these Terms without consent, except to an acquirer or successor.
Force majeure. Neither party is liable for delays due to events outside reasonable control.
Notices. To Conduyt: legal@conduyt.app. To Customer: the email on your account.
Severability. If a clause is unenforceable, the rest remains in effect.
Survival. Sections on IP, liability, indemnification, and governing law survive termination.
